Mr. Emre Ulcaylı specializes in providing legal consultancy services to multinational and local clients, focusing on corporate law, commercial law, direct foreign investments law, capital markets law, banking law, competition law, intellectual property law, and media law. He has a wealth of experience in complex cross-border M&A transactions, strategic partnerships, joint ventures, financing, restructuring projects, and establishing new companies and businesses. His work spans a broad spectrum of industries, including FMCG, retail apparel, textiles, automotive, tourism, media, broadcasting and entertainment, publishing, chemicals, pharmaceuticals, health care, logistics, telecommunications, and energy.

In his M&A practice, Mr. Ulcaylı has led numerous data room preparations and conducted legal due diligence studies, focusing on corporate matters, material contracts, intellectual property, environmental, and regulatory issues. He is skilled in drafting and negotiating letters of intent, share purchase and shareholders agreements, asset transfer agreements, joint venture agreements, escrow agreements, share pledge agreements, and loan agreements. He also manages the closing formalities and oversees the transfer of shares in Turkish entities.

Mr. Ulcaylı has extensive experience in the restructuring of broadcasting companies as per the Radio and Television Supreme Council legislation and in working with broadcasting agreements. He is a member of the GSI Corporate Communication Board. Additionally, he has developed guidelines for foreign investors investing in capital markets instruments in Türkiye and has handled various notifications before the Turkish Competition Board. He is well-versed in managing mandatory and voluntary tender offers for public shares of companies listed on the stock exchange.

Prior to joining GSI, Mr. Ulcaylı worked for nearly 10 years in a law firm with a multinational clientele, where he primarily focused on corporate and commercial law, M&A projects, capital markets law, and media law.
